These Terms of Service ("Terms") govern your access to and use of TokenWatch, operated by Nimbus Analytica Inc. ("we", "our", or "us"), a company incorporated in Ontario, Canada. By creating an account or using the TokenWatch service, you agree to these Terms. If you do not agree, do not use the service.
TokenWatch is an AI coding cost attribution tool that helps development agencies track, attribute, and report AI token costs across developers, projects, and clients. The service includes a web dashboard, an ingest API, a CLI tool, and a local proxy for supported AI coding tools.
You must be at least 18 years old and have the authority to enter into these Terms on behalf of yourself or the organization you represent. By using TokenWatch, you represent that you meet these requirements.
You must create an account to use TokenWatch. You are responsible for maintaining the security of your account credentials and ingest key. You are responsible for all activity that occurs under your account. Notify us immediately at support@tokenwatch.one if you suspect unauthorized access.
TokenWatch is offered as a monthly subscription. Current pricing is displayed at tokenwatch.one. Founding Plan customers who subscribe during the early access period have their rate locked for the lifetime of their subscription.
Subscriptions are billed monthly in advance via Stripe. By providing payment information, you authorize us to charge your payment method on a recurring basis. All fees are in US dollars unless stated otherwise.
If a payment fails, your access to the dashboard may be suspended until payment is resolved. We will notify you by email before suspending access.
We do not offer refunds for partial months. If you cancel your subscription, you retain access until the end of the current billing period.
You may cancel your subscription at any time from the billing portal in your dashboard settings. Cancellation takes effect at the end of the current billing period.
You agree to use TokenWatch only for lawful purposes and in accordance with these Terms. You must not:
You retain ownership of all data you submit to TokenWatch, including attribution metadata, developer information, project names, and client names. By using the service, you grant us a limited license to store and process that data solely for the purpose of providing the service to you.
We do not claim any ownership over your data. We do not use your data to train AI models. See our Privacy Policy for full details on how we handle your data.
TokenWatch, including its dashboard, CLI tools, APIs, and all associated software, is owned by Nimbus Analytica Inc. and protected by applicable intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or brand names.
TokenWatch integrates with third-party services including Anthropic, Clerk, Stripe, Supabase, Resend, PostHog, and Vercel. Your use of those services is subject to their respective terms and privacy policies. We are not responsible for the practices of third-party services.
TokenWatch is not affiliated with, endorsed by, or sponsored by Anthropic, OpenAI, GitHub, or any AI tool provider whose usage it tracks.
TokenWatch is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the service will be uninterrupted, error-free, or that attribution data will be complete or accurate in all circumstances. Attribution accuracy depends on the configuration of developer machines, availability of git context, and the instrumentation capabilities of supported AI tools.
We are not responsible for billing decisions you make based on data from TokenWatch. You are responsible for validating attribution data before using it for client invoicing.
To the maximum extent permitted by applicable law, Nimbus Analytica Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or loss of data, arising from your use of or inability to use the service.
Our total liability to you for any claims arising from these Terms or your use of the service shall not exceed the total amount you paid to us in the three months preceding the claim.
You agree to indemnify, defend, and hold harmless Nimbus Analytica Inc. and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the service, your violation of these Terms, or your violation of any third-party rights.
We may suspend or terminate your account at any time for violation of these Terms, non-payment, or conduct we determine to be harmful to the service or other users. We will provide reasonable notice where possible. Upon termination, your right to access the service ceases immediately. Data retention after termination is governed by our Privacy Policy.
You may terminate your account at any time by cancelling your subscription and contacting us at support@tokenwatch.one to request account deletion.
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Any disputes arising from these Terms or your use of the service shall be resolved through binding arbitration in Toronto, Ontario, except that either party may seek injunctive or equitable relief in a court of competent jurisdiction. You waive any right to participate in a class action lawsuit or class-wide arbitration.
We may update these Terms from time to time. We will notify you of material changes by email at least 14 days before they take effect. Continued use of the service after changes take effect constitutes acceptance of the updated Terms. If you do not agree with the changes, you may cancel your subscription before they take effect.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Nimbus Analytica Inc. regarding your use of TokenWatch and supersede all prior agreements and understandings.
